Jacqueline Low

Jacqueline has been in the corporate services industry for over 20 years. She has helped thousands of clients with their company statutory matters, helping them understand and navigate the Singapore Act, laws, rules and regulations, avoiding expensive mistakes. Jacqueline has handled all matters from company incorporations, ongoing statutory compliance, corporate governance, immigration and human resource, accounting, tax and licensing matters.

Jacqueline has been company secretary and director to countless companies. Her professionalism, can-do attitude and ability to analyse and understand clients’ issues and provide pragmatic solutions have won over many clients who look to her whenever they are unsure about matters or require a 3rd party eye/ear to the situation that they are facing.

Prior to JBL, Jacqueline helped setup Janus Corporate Solutions, a leading corporate services firm that was acquired by Hawksford, a Jersey-based corporate, private client and funds company.

Having worked with clients from all over the world and the experience of being director and managing companies in Singapore, Malaysia, Hong Kong, Vietnam, Brunei and Mongolia, has given Jacqueline the capabilities of understanding the various nuances and governance.

Jacqueline holds an MBA from De Montfort University, UK and is a Practicing Chartered Secretary and Associate member of the Chartered Secretaries Institute of Singapore (CSIS). She is also a member of the Singapore Human Resources Institute (SHRI).

Benny Lim
Legal Advisor

Benny holds a Bachelor of Laws and a Master of Laws, both from the National University of Singapore. He has been in legal practice in Singapore as an Advocate and Solicitor of the Supreme Court of Singapore since 1997.

Benny is currently a partner at Chris Chong & CT Ho LLP, and heads its fund management and corporate practice. He has extensive experience in fund management and investment advisory matters, financial services regulatory compliance, and the structuring and establishment of Singapore and offshore funds. He has acted for sponsors and fund managers of private equity funds, real estate funds, hedge funds, fund-of-funds, Shariah-compliant funds, and restricted Singapore and foreign schemes, as well as family offices and the private banking and wealth management arms of offshore banks. He also regularly advises fund management and financial intermediary clients on regulatory and licensing issues, including applying for capital markets services licences, financial advisers’ licences and the applicable exemptions from the Monetary Authority of Singapore.

Benny’s other main areas of practice are corporate finance, private and public mergers and acquisitions, cross-border joint ventures and private equity investments, and regulatory compliance for listed companies and registered charities. He travels regularly in the Asia Pacific region advising clients on a wide range of matters, and has represented multinational clients, government-linked companies, and listed and private companies in various transactions ranging from share purchases, asset acquisitions and disposals, shareholders' agreements, greenfield and infrastructure projects, initial public offerings in Singapore, placements and rights issue, privatizations, corporate restructurings and re-organisations, and scheme of arrangement.

Benny also advises Singapore listed companies on corporate governance, compliance and regulatory matters. He is currently the company secretary to several public companies listed on the Singapore Exchange Securities Trading Limited, as well as numerous Singapore private companies.

Benny has also been appointed to the board of various listed companies in Singapore as independent non-executive director since 2007.

Lingna Dai
Legal Consultant

Lingna graduated from the University of Tasmania, Australia with a Bachelor of Laws in 2013, and was called to the Singapore Bar in April 2016. She has worked as a Senior Associate at Chris Chong & C T Ho LLP, working in the corporate and corporate secretarial department of the Singapore law firm where she managed the day-to-day operations of the corporate secretarial department.

Lingna’s area of practice includes advisory work in corporate restructuring and corporate exercises for public listed and private companies, such as mergers and acquisitions, joint venture transactions, company share buybacks, and legal due diligence. Lingna is actively involved in the setting up of onshore and offshore investment funds for the law firm’s fund management clients, and assists regularly in applying for the relevant licences and exemptions from the Monetary Authority of Singapore pursuant to the Securities and Futures Act (Cap. 289) of Singapore. Lingna also advises on employment matters and other general corporate matters of the firm.

Having over 10 years of professional experience in the corporate secretarial industry, Lingna has provided corporate secretarial services to various private companies (Singapore based and offshore companies), as well as public companies listed on the Singapore Exchange Securities Trading Limited (SGX-ST). She also regularly provides advisory work and support to both Singapore public and private companies, and registered charities and societies in relation to entity formation, annual reporting, corporate governance and regulatory compliance matters.

She also acts as named company secretary to Singapore private companies and several companies listed on the SGX-ST. She has also been appointed as independent scrutinizer for general meetings of companies listed on the SGX-ST.

Jessica Zheng
Corporate Secretarial Services

Jessica has over 10 years of experience in corporate secretarial and compliance advisory matters involving private companies and public companies listed on the Singapore Exchange Securities Trading Limited (SGX).

Jessica's areas of practice include incorporation, allotment and transfer of shares, striking off of companies, resolutions and minutes, maintenance of statutory registers and secretarial records, as well as statutory filings. She also provides support work in relation to corporate governance and compliance matters under the Companies Act (Cap. 50) of Singapore, the listing manual of the SGX, and the Code of Corporate Governance.

Jessica holds a Master of Arts degree from the National University of Singapore.
